1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you", "your") and paySwapr ("paySwapr", "we", "us", "our"), governing your access to and use of the paySwapr website, mobile application, APIs, and all related services (collectively, the "Platform").
paySwapr is operated by [Company Legal Name], a company registered in the Federal Republic of Nigeria with Corporate Affairs Commission registration number [RC 0000000], whose registered office is at [Registered Address, Lagos, Nigeria] ("Operator"). References to "paySwapr", "we", "us" and "our" are to the Operator.
By creating an account, accessing the Platform, posting an offer, initiating a trade, or using any feature of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not use the Platform.
2. Definitions
- Buyer — the User who initiates a trade to purchase cryptocurrency from a Seller.
- Seller — the User who creates an offer to sell cryptocurrency and funds the escrow.
- Offer — a public listing created by a Seller specifying the coin, price, payment method, and trade limits.
- Trade — a transaction between a Buyer and Seller that begins when the Buyer accepts an Offer and the Seller's cryptocurrency is locked in Escrow.
- Escrow — the temporary custody of the Seller's cryptocurrency held by the Platform during an active Trade, released to the Buyer only upon the Seller's confirmation of payment receipt.
- Platform Wallet — the non-custodial cryptocurrency wallet associated with your account, used to deposit, hold, and withdraw supported coins.
- KYC — Know Your Customer; the identity verification process required for certain account tiers and actions.
- PIN — a security code set by the User to authorise sensitive account actions, separate from the account password.
- Dispute — a formal escalation raised by either party within an active Trade when an agreement cannot be reached.
- Voucher Trade — a specialised trade type, presented in the app as "Buy & Sell", in which a gift card, voucher, or prepaid code is exchanged for cryptocurrency, following the Platform's voucher trade rules.
- USDT Escrow — an opt-in feature that allows a Seller who does not hold the coin required by a Trade to lock the equivalent value (plus a swap fee) in USDT instead; the Platform delivers the required coin to the Buyer from its own reserve on completion.
- Coin Swap — the Platform feature that lets you convert one supported cryptocurrency in your Platform Wallet into another, either internally via the Platform's ledger or on-chain through a third-party swap provider.
- Reserve — cryptocurrency held by paySwapr used to source coins for USDT Escrow settlements and internal Coin Swaps.
- Moderator — a paySwapr administrator assigned to review and resolve Disputes.
- Trade Ref — the unique reference number identifying each Trade on the Platform.
- Blockchain Infrastructure Provider — the third-party service through which Platform Wallets are created and transactions are broadcast to their respective networks.
- Swap Provider — a third-party exchange service that the Platform may use to execute on-chain Coin Swaps or to source coins for the Reserve.
3. Eligibility
To use the Platform you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
- Have full legal capacity to enter into a binding agreement.
- Not be resident in, or accessing the Platform from, a jurisdiction where cryptocurrency trading is prohibited or restricted by law.
- Not be a person or entity subject to sanctions administered by any government authority, including those listed by OFAC, the EU, or the UN.
- Not have had a previous paySwapr account suspended or terminated for violations of these Terms.
By registering, you represent and warrant that you meet all of the above criteria. We reserve the right to request documentary proof of eligibility at any time. Providing false information is a material breach of these Terms and may result in immediate account termination.
Jurisdictions We Do Not Serve
Access to the Platform is blocked at the point of access for visitors from the following jurisdictions, which are currently excluded from our services:

This list is maintained by us and enforced through technical measures, and may be updated from time to time to reflect legal, regulatory, sanctions, or risk considerations. It is not exhaustive: the prohibition in this Section 3 also applies to any jurisdiction where cryptocurrency trading is prohibited or restricted by law, whether or not listed above.
4. Account Registration & Security
Each individual may register one account only. Accounts are personal and non-transferable. You may not share, sell, assign, or allow any other person to access or use your account.
When registering, you must provide accurate, current, and complete information. You are required to keep your registration information up to date. Failure to do so may result in account restriction.
You are solely responsible for:
- Maintaining the confidentiality of your password and security PIN.
- All activities that occur under your account, whether or not authorised by you.
- Immediately notifying us at support@payswapr.com if you suspect any unauthorised access to your account.
- Logging out of your account after each session on shared devices.
paySwapr uses a Security PIN system as a second layer of authentication for sensitive actions such as releasing escrow funds, initiating withdrawals, and changing security settings. You must set up and protect your PIN separately from your password. We will never ask for your PIN by email, chat, or telephone.
We strongly recommend enabling two-factor authentication (2FA) for your account. We cannot be held liable for losses resulting from compromised account credentials where 2FA was not enabled.
5. Identity Verification (KYC)
paySwapr operates a tiered verification system. Certain features, higher trade limits, and withdrawal thresholds require you to complete identity verification in accordance with applicable anti-money laundering (AML) and Know Your Customer (KYC) regulations.
KYC verification may require you to submit:
- A government-issued photo identification document (passport, national ID, or driver's licence).
- A selfie or live photo for liveness verification.
- Proof of address (a recent utility bill, bank statement, or similar document).
- Additional information as required by applicable law or our compliance procedures.
All documents submitted are processed and stored in accordance with our Privacy Policy. Submission of KYC documents does not guarantee approval. We reserve the right to decline or revoke verification at our sole discretion, including where we are unable to verify the authenticity of documents provided.
You must not submit documents belonging to another person or submit forged, altered, or otherwise fraudulent documents. Doing so is a serious violation of these Terms and may be reported to relevant law enforcement authorities.
6. The PaySwapr Platform
paySwapr is a peer-to-peer (P2P) cryptocurrency marketplace that connects individual Buyers and Sellers of cryptocurrency. We provide the infrastructure for Users to discover each other, negotiate trades, and settle transactions through our escrow system.
paySwapr is not a party to any Trade. We do not act as a broker, dealer, exchange, money services business, financial institution, or investment adviser. We do not set the price of any cryptocurrency. All prices, exchange rates, and trade terms are set exclusively by individual Sellers in their Offers.
By providing the escrow mechanism and dispute resolution service, paySwapr facilitates Trades but does not guarantee their successful completion. The contractual relationship for each Trade is between the Buyer and the Seller. Our involvement in escrow and dispute resolution does not make us a party to the underlying transaction.
The Platform supports trading of a variety of cryptocurrencies. The list of supported coins is subject to change at our discretion. We do not support all cryptocurrencies, tokens, or blockchain networks. It is your responsibility to confirm that the coin you intend to trade is actively supported before initiating a Trade or sending funds.
On-chain wallet infrastructure — including wallet generation, address management, and transaction broadcasting — is provided through a third-party Blockchain Infrastructure Provider. By using your Platform Wallet, you acknowledge that certain wallet operations are processed via the provider's infrastructure. paySwapr retains responsibility for the security of your encrypted key material stored on our servers; the provider does not hold or have access to your private key material.
7. Creating & Managing Offers
Sellers may post Offers on the Platform specifying the cryptocurrency to sell, the price or margin above market rate, accepted payment methods, trade limits (minimum and maximum), trade instructions, and any additional terms. Offers are visible to all registered Users.
You are responsible for ensuring that your Offer:
- Accurately describes the trade terms you are willing to honour.
- Specifies a payment method you are able to accept and verify.
- Complies with all applicable laws and these Terms.
- Does not request or facilitate any activity prohibited under Section 14 of these Terms.
Posting an Offer is free. As the Offer creator, you pay the Platform's trading fee after every successfully completed Trade on that Offer — the User who takes your Offer pays no trading fee. The rate depends on the payment method you choose and is shown to you before you publish the Offer. See Section 12.
paySwapr reserves the right to remove, modify visibility of, or suspend any Offer that violates these Terms, is flagged by our automated systems, or is otherwise determined by us to be inappropriate or harmful to the integrity of the marketplace.
Once a Buyer accepts an Offer and a Trade begins, the exchange rate and core trade terms agreed at that moment are locked for the duration of that Trade. You may not unilaterally alter the terms of an active Trade.
8. The Trade & Escrow Process
When a Buyer accepts a Seller's Offer, the Trade is initiated and the following process applies:
- Escrow Lock: The Seller's cryptocurrency (the agreed trade amount) is automatically locked in paySwapr's escrow. The Seller cannot withdraw or move escrowed funds until the Trade is completed, cancelled, or resolved through dispute.
- Payment by Buyer: The Buyer sends payment to the Seller using the payment method specified in the Offer and marks the Trade as paid within the Trade window.
- Confirmation by Seller: Upon independently verifying that the correct payment has been received in full, the Seller releases the escrow, and the cryptocurrency is credited to the Buyer's paySwapr wallet.
- Trade Completion: The Trade is marked as complete. Both parties may leave feedback.
Trades must be completed within the time window specified in the Offer or trade settings. Failure by either party to act within the required time frame may result in automatic trade cancellation or escalation.
If a Trade is cancelled before the escrow is released, the locked cryptocurrency is returned to the Seller's wallet. Cancellation fees may apply where repeated cancellations indicate bad faith behaviour.
8a. Voucher & Gift Card Trades (Buy & Sell)
The Platform supports a specialised category of Trades, presented in the app under "Buy & Sell", in which a gift card, prepaid voucher, or redemption code is exchanged for cryptocurrency, with the coin released upon successful verification of the voucher's value and validity. These are referred to as Voucher Trades.
Voucher Trades are subject to the following additional conditions:
- The Buyer must provide a valid, unused voucher code of the agreed denomination from an accepted issuer.
- The Seller is responsible for independently verifying the voucher's balance and redemption status before releasing escrow.
- paySwapr does not verify voucher codes on behalf of either party and is not responsible for invalid, partially used, or counterfeit codes.
- Once a Seller confirms that a voucher has been successfully redeemed and releases escrow, the Trade is considered final. No refunds will be issued if the voucher is later disputed by its issuer.
- Voucher Trades carry heightened fraud risk. Both parties acknowledge this risk and agree to act with extra due diligence.
8b. USDT Escrow (Sell Any Coin)
USDT Escrow is an optional feature that lets an opted-in Seller take a Trade for a coin they do not currently hold. Instead of escrowing the coin itself, the Seller locks the equivalent value in USDT, plus a swap fee, from their paySwapr wallet. When the Trade completes, the Platform sources the required coin from its own Reserve and delivers it to the Buyer. Availability of this feature, the swap fee, minimum and maximum escrow amounts, and the accepted USDT networks are set by paySwapr and displayed on the USDT Escrow page.
USDT Escrow is subject to the following additional conditions:
- The feature must be enabled by the Platform and you must opt in before using it. It may be withdrawn, paused, or restricted at any time at our discretion.
- The coin-to-USDT conversion rate is locked at the moment you fund the escrow, so the exact USDT amount is fixed upfront regardless of later price movement.
- The swap fee is charged only if the Trade completes. If the Trade is cancelled or the escrow is returned, the full amount you locked — including the swap fee — is refunded to your wallet.
- Sending USDT on certain networks also requires a small balance of the network's native coin (for example, ETH for USDT-ERC20 or BNB for USDT-BEP20) to cover the blockchain fee. Maintaining that balance is your responsibility.
- All Seller and Buyer obligations, escrow rules, and dispute procedures in these Terms apply to USDT Escrow Trades in the same way as to standard Trades.
9. Seller Obligations
As a Seller, you agree to:
- Maintain sufficient funds in your paySwapr wallet to cover active Offers and fund escrow when a Trade is accepted.
- Respond to active Trades promptly and within the time window specified.
- Independently verify that payment has been received in full and from the correct Buyer before releasing escrow.
- Verify that payment was sent by the account holder themselves and not by a third party. You must not accept payment from any person other than the registered Buyer.
- Not release escrow based on screenshots, pending payment notifications, or any unverified confirmation. You must confirm the funds have cleared in your account before releasing.
- Provide clear, accurate payment instructions in your Offer so that Buyers can comply without ambiguity.
- Not cancel an active Trade to avoid completing a legitimate transaction after receiving or expecting payment.
10. Buyer Obligations
As a Buyer, you agree to:
- Send payment using only the payment method specified in the Offer and in exact accordance with the Seller's instructions.
- Send payment from an account registered in your own name. You must not use third-party accounts or payment services to send funds on your behalf.
- Mark the Trade as paid only after you have actually sent the payment — not in advance or to pressure the Seller.
- Not initiate chargebacks, payment reversals, or disputes with your payment provider against a Seller from whom you have received cryptocurrency.
- Keep communication within the paySwapr trade chat system so that a complete record exists for any potential dispute.
- Respond to the Seller's messages and complete payment within the time window specified.
11. Dispute Resolution
If a Buyer and Seller cannot reach agreement during a Trade, either party may escalate the Trade to a Dispute. Disputes are reviewed by paySwapr Moderators.
When a Dispute is raised:
- The escrow remains locked and cannot be released by either party until the Dispute is resolved.
- Both parties will be contacted by a Moderator and must provide all relevant evidence, including payment receipts, screenshots, and trade chat history.
- Failure to respond to a Moderator within 24 hours of being contacted may result in the Dispute being resolved in favour of the responsive party.
How Moderators decide:
Moderators review the full evidence available — trade chat, payment proof, timestamps, and account history — and make a binding decision to release the escrow to the Buyer or return it to the Seller. Moderators will not consider evidence submitted outside the Platform's communication channels.
paySwapr does not guarantee any particular outcome. Moderators act in good faith based on available evidence and cannot verify payment systems outside our control. We are not liable for losses arising from fraudulent payment proofs or chargebacks initiated by counterparties.
Senior admin takeover: In cases involving suspected fraud, systemic abuse, high-value disputes, or where a conflict of interest is identified, a senior administrator may assume direct control of an active Dispute, superseding any previously assigned Moderator. The outcome of a takeover review carries the same binding effect as a standard Moderator decision.
If you believe a Dispute was resolved incorrectly due to a clear error of fact, you may submit an appeal to support@payswapr.com within 7 days of the resolution. Appeals are reviewed at our sole discretion and do not automatically suspend the original decision.
12. Fees
paySwapr charges fees for certain services on the Platform. Current fees are displayed in your account settings and on the relevant pages of the Platform. Fees are subject to change with notice.
- Trading fee: Trading on paySwapr is free. If you create an Offer, you pay a fee after every successfully completed Trade on that Offer. The rate is set per payment method and is shown to you when you create the Offer and on the Trade page. No trading fee is charged on Trades that are cancelled, expired, or refunded.
- Withdrawal fee: Withdrawing cryptocurrency to an external wallet incurs a network (blockchain) fee and may include a Platform service fee. Network fees are determined by the relevant blockchain and are not controlled by paySwapr.
- Deposit fee: Depositing cryptocurrency to your paySwapr wallet is generally free; however, network fees paid to the blockchain are your responsibility.
- Swap fee: Converting one coin to another via Coin Swap incurs a service fee, and, for on-chain swaps, the rates and fees of the third-party Swap Provider. All applicable amounts are shown before you confirm the swap.
- USDT Escrow swap fee: Where you use USDT Escrow, a swap fee is added on top of the escrow value. This fee is charged only if the Trade completes; if the Trade is cancelled, the fee is refunded in full along with the escrowed amount.
All fees are deducted automatically at the point of the relevant transaction. Once a fee has been charged in connection with a completed transaction, it is non-refundable.
You are solely responsible for determining and paying any taxes, duties, or levies arising from your use of the Platform in your jurisdiction. paySwapr does not provide tax advice and does not report your trading activity to any tax authority on your behalf, except where required by law.
13. Referral Programme
paySwapr operates a referral programme that allows registered Users to earn rewards when people they refer register and complete trades on the Platform. By participating in the referral programme, you agree to the following:
- Referral rewards are a share of the trading fees a referred User actually pays. Because the trading fee falls on the User who created the Offer, a reward arises only where a referred User's own Offer produces a successfully completed Trade, and only where that Trade qualifies under the programme terms displayed in your account.
- You may not refer yourself, create multiple accounts to generate referral rewards, or use automated means to generate referrals.
- Referral rewards are credited to your account balance and are subject to the same withdrawal terms as other funds.
- paySwapr reserves the right to modify, suspend, or terminate the referral programme at any time, including adjusting reward rates or cancelling rewards obtained through abuse of the programme.
- Referral rewards obtained through fraudulent activity, including but not limited to fake registrations or self-referral schemes, will be reversed and the account may be terminated.
14. Prohibited Activities
You agree not to use the Platform for any of the following:
- Money laundering, terrorist financing, fraud, or any other financial crime.
- Purchasing, selling, or facilitating transactions related to illegal goods or services, including but not limited to narcotics, weapons, counterfeit items, or stolen data.
- Initiating or facilitating payment chargebacks after receiving cryptocurrency (chargeback fraud).
- Using third-party payment accounts, stolen payment details, or any method that does not belong to you to make payments in Trades.
- Creating multiple accounts or using another person's account to circumvent bans, limits, or verification requirements.
- Impersonating paySwapr staff, Moderators, or other Users.
- Manipulating the Platform's feedback or ranking system through fake trades, self-trading, or coordinated activity.
- Threatening, harassing, or abusing other Users within or outside the Platform's trade chat.
- Attempting to reverse engineer, decompile, scrape, or interfere with the Platform's code, systems, or APIs without authorisation.
- Circumventing or attempting to circumvent geographic restrictions through VPNs, proxies, or other means for the purpose of evading compliance controls.
- Conducting trades for amounts that breach the applicable limits displayed on your account tier.
- Using the Platform in any way that would violate applicable laws or regulations in your jurisdiction.
Engaging in any prohibited activity may result in immediate account suspension, termination, seizure of funds pending investigation, and referral to relevant law enforcement or regulatory authorities.
15. Account Suspension & Termination
paySwapr reserves the right to suspend, restrict, or permanently terminate any account at any time, with or without prior notice, if we have reasonable grounds to believe that:
- You have violated any provision of these Terms.
- Your account is involved in suspicious, fraudulent, or potentially illegal activity.
- We are required to do so by applicable law, regulation, or order of a court or authority.
- Your account represents a risk to other Users, the Platform, or the integrity of the marketplace.
- You have provided false, inaccurate, or misleading information during registration or verification.
Where an account is suspended pending investigation, any funds held in escrow at the time of suspension will remain frozen until the investigation is concluded. Where a suspension is temporary and subsequently lifted, funds will be made available in accordance with the outcome of the investigation.
You may close your account at any time by contacting us at support@payswapr.com. Before closing your account, you must withdraw all available funds. paySwapr is not responsible for any funds left in an account after closure.
Termination of your account does not affect any rights or obligations that arose before the date of termination, including any outstanding Trades, unpaid fees, or pending dispute resolutions.
16. Cryptocurrency Risks
Trading and holding cryptocurrency involves substantial risk. By using the Platform, you acknowledge and accept the following risks, among others:
- Price volatility: The value of cryptocurrency can fluctuate dramatically in a short period of time. You may lose some or all of the value of any cryptocurrency you hold or trade.
- Irreversibility: On-chain cryptocurrency transactions are generally irreversible. Once a transaction is broadcast to a blockchain, it cannot be reversed or altered.
- Regulatory risk: Laws and regulations governing cryptocurrency vary by jurisdiction and are subject to rapid change. Changes in applicable law may affect your ability to use the Platform or access your funds.
- Technology risk: Blockchain networks and cryptographic systems may be subject to bugs, vulnerabilities, forks, or unforeseen technical failures that are outside our control.
- Counterparty risk: Despite our escrow and dispute systems, there is no guarantee that a Trade will be completed successfully or that a counterparty will act in good faith.
- Network fees: Blockchain network fees (gas fees) are unpredictable and may fluctuate significantly, affecting the economics of transactions.
17. Wallets & Funds
paySwapr provides each registered User with a Platform Wallet for supported cryptocurrencies. Your wallet is generated and secured using industry-standard cryptographic methods. Your wallet's private key material is encrypted and stored securely; however, you are responsible for maintaining access to your account.
You may deposit cryptocurrency into your Platform Wallet and withdraw to external wallet addresses you control. All withdrawals to external addresses are final and irreversible once processed. You must double-check the destination address before confirming any withdrawal. paySwapr is not responsible for funds sent to incorrect addresses.
Users who have enabled Two-Factor Authentication (2FA) on their account may export their wallet's seed phrase (BIP39 mnemonic) from the wallet page after verifying their 2FA code. The seed phrase, if exported, gives full control over the associated wallet and should be stored securely offline. paySwapr is not responsible for any loss of funds arising from unauthorised disclosure of an exported seed phrase. If 2FA is not enabled, seed phrase export is not available; you are encouraged to enable 2FA to unlock this self-custody feature.
Wallet PIN: Sensitive wallet actions (withdrawals, sending funds, seed phrase export) require your six-digit wallet PIN. Entering an incorrect PIN five consecutive times will lock your wallet for a security cooldown period. During a lockout, all PIN-gated actions are suspended. If you forget your PIN, you may reset it through your account security settings after completing account verification.
Funds held in your Platform Wallet are separate from funds held in escrow during active Trades. Escrowed funds are held on your behalf and will be returned to your wallet or credited to the Buyer depending on the outcome of the Trade or Dispute.
In the event that paySwapr is required to freeze your wallet by court order, regulatory requirement, or active fraud investigation, we will do so and notify you to the extent permitted by law.
17a. Coin Swap & Conversions
The Coin Swap feature lets you convert one supported cryptocurrency held in your Platform Wallet into another supported cryptocurrency. Depending on Platform configuration, swaps are executed in one of two ways:
- Platform (internal) swap: the conversion is settled instantly against paySwapr's internal ledger and Reserve, without an on-chain transaction.
- On-chain swap via a Swap Provider: the conversion is routed through a third-party exchange service. On-chain swaps typically settle within 10–30 minutes and are subject to the provider's rates, limits, and fees in addition to any paySwapr service fee.
The applicable swap fee, any network fee, and the estimated amount you will receive are shown before you confirm a swap. Exchange rates are indicative until the swap is confirmed and may move with the market. Where a swap is routed to a Swap Provider, the final amount received is determined by that provider and is outside paySwapr's control.
17b. Retiring a Supported Coin
paySwapr may stop supporting a cryptocurrency at any time. This is a decision about what the Platform supports; it is not a decision about your funds, and it does not move, freeze or take anything you hold.
You keep the coins. Your wallet is a key pair, not a balance we hold on your behalf. The recovery phrase for that wallet opens it in any other wallet software, with or without paySwapr, so those coins remain yours and remain reachable whatever we do here. You are strongly advised to export and safely store your recovery phrase.
When a coin is retired:
- You can no longer deposit that coin through paySwapr, and we stop issuing a deposit address for it.
- You can no longer open or accept trades in that coin. Existing offers in it are paused; trades already in progress complete as normal.
- Your wallet remains visible for a period so you can withdraw the balance. That period is for your benefit and does not last indefinitely — afterwards the coin no longer appears on the Platform at all. Nothing is taken when that happens: the coins remain at the same blockchain address and your recovery phrase still opens it.
- The address keeps working on the blockchain, but we stop watching it. Funds sent to it from elsewhere will still arrive, and paySwapr will neither notice nor notify you. Treat a retired address as one you no longer use and stop giving it out.
Retirement is reversible. If paySwapr re-enables a coin, it returns with the same address and the same balance, and deposits and trading resume. We will notify affected Users by email when a coin is retired.
18. Privacy & Data
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
You acknowledge that certain data relating to your trades, account activity, and identity verification may be retained by paySwapr for the periods required by applicable law, including AML record-keeping requirements, even after your account is closed.
paySwapr may use Telegram integration features to send you transactional notifications. By enabling Telegram notifications, you consent to receiving messages via the Telegram platform. You may disable notifications at any time from your account settings.
19. Intellectual Property
All content, design, graphics, software, and other material on the Platform, excluding User-generated content, is owned by or licensed to paySwapr and is protected by applicable intellectual property laws. You may not reproduce, copy, distribute, or create derivative works from any Platform content without our prior written consent.
You retain ownership of any content you submit to the Platform, including trade instructions and offer descriptions. By submitting content, you grant paySwapr a worldwide, non-exclusive, royalty-free licence to use, store, display, and process that content for the purpose of operating the Platform.
The paySwapr name, logo, and associated marks are trademarks of paySwapr. You may not use our trademarks without our prior written permission.
20. Limitation of Liability
To the fullest extent permitted by applicable law, paySwapr, its directors, employees, agents, and affiliates shall not be liable for:
- Any loss of cryptocurrency, funds, or profits arising from your use of the Platform.
- Any loss caused by the actions or omissions of other Users, including fraud, chargeback, or non-payment.
- Any indirect, incidental, consequential, punitive, or special damages.
- Any interruption, suspension, or termination of the Platform or any service feature.
- Any loss resulting from a blockchain network failure, fork, exploit, or third-party service disruption.
- Any unauthorised access to your account where reasonable security measures were in place on our side.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Where liability cannot be excluded by law, our total liability to you in connection with any claim arising out of your use of the Platform shall not exceed the lesser of (a) the total fees paid by you to paySwapr in the 90 days preceding the event giving rise to the claim, or (b) the equivalent of USD $100.
21. Indemnification
You agree to defend, indemnify, and hold harmless paySwapr and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform.
- Your breach of these Terms.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party rights, including intellectual property rights or privacy rights.
- Any dispute between you and another User arising from a Trade conducted on the Platform.
22. Governing Law and Dispute Venue
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws provisions.
Subject to Section 11 (Dispute Resolution), any legal action or proceeding relating to these Terms that is not resolved through the Platform's dispute process shall be brought exclusively in the competent courts of Lagos, Nigeria, and you hereby irrevocably submit to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
The failure of paySwapr to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any breach does not constitute a waiver of any subsequent breach.
23. Amendments
paySwapr reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email (if you have provided a verified email address), by in-platform notification, or by prominently displaying a notice on the Platform.
Changes take effect on the date stated in the updated Terms. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request closure of your account.
We encourage you to review these Terms periodically. The date of the most recent update is always displayed at the top of this page.
